StackAdapt Event Terms and Conditions

The following terms and conditions (“Terms and Conditions“) are a condition to your attendance at any StackAdapt events or activities (the “Event“) and your registration for the Event, receipt of these Terms and Conditions regarding the Event, and decision to subsequently attend the Event constitute your acceptance of these Terms and Conditions between the guest receiving these Terms and Conditions (“you” and “your“) and StackAdapt Inc. (together with its subsidiaries, “StackAdapt“). These Terms and Conditions may be updated by StackAdapt from time to time, and the version of these Terms and Conditions in effect as of the date of a given Event, as posted on StackAdapt’s website, will govern your attendance at that Event.
1. Event Changes; Cancellations
- StackAdapt reserves the right, in its sole discretion, to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, venue and time.
- If StackAdapt makes travel booking services or links available to you in connection with the Event (including through a third-party platform such as Navan), and you use those services to book travel, you acknowledge that if you subsequently cancel your booking, do not attend, or are otherwise unable to attend the Event, you may be responsible for any cancellation fees, penalties or non-refundable costs associated with that booking, depending on the circumstances of the cancellation and the applicable fare, ticket, or vendor terms. StackAdapt reserves the right to seek reimbursement from you for any such costs that StackAdapt incurs on your behalf. This Section 1(b) will not apply, and you will not be responsible for any such cancellation fees, penalties or non-refundable costs, to the extent your cancellation or non-attendance results from StackAdapt cancelling, postponing, or materially changing the Event.
2. Event Conduct
- You acknowledge that StackAdapt reserves the right to request your removal from the Event if StackAdapt, in its sole discretion, considers your presence and/or behaviour to create a disruption or to hinder the Event and/or the enjoyment of the Event by other attendees or speakers.
- You agree not to use your attendance at the Event to engage in targeted recruitment of StackAdapt’s current employees, or to knowingly and intentionally solicit business away from StackAdapt with any individual you know to be a current StackAdapt client.
3. Photo Release. By attending the Event, you acknowledge and agree to grant StackAdapt the right at the Event to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to StackAdapt includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media.
4. Intellectual Property
- All intellectual property rights in and to the Event, the Event content and all materials distributed at or in connection with the Event are owned by StackAdapt.
- Except as permitted under this subsection, you will not distribute proprietary or confidential materials provided to you at the Event (such as slide decks, handouts, or other non-public materials) externally unless provided by StackAdapt’s Representatives directly for that purpose. Nothing in these Terms and Conditions restricts your ability to discuss, post about, or share your own commentary, photos, or recollections of your attendance at the Event on social media or with your colleagues, consistent with the Confidentiality section below. If you wish to receive clarification or further information on any content, a Representative can provide additional details following the Event.
5. Confidentiality. You represent and warrant that you are fully authorized to share any information you provide at the Event, whether oral or written, and that doing so will not infringe or violate the rights of any third party. You agree that you will not disclose to any other attendee, or otherwise use, any confidential or proprietary information you may learn about StackAdapt, its business, products, or clients in connection with the Event, other than for purposes of evaluating StackAdapt’s products and services.
6. Assumption of Risk. By attending an Event, you acknowledge and assume the inherent risks in participating in the Event, including but not limited to:
- the potential for bodily injury or illness;
- contact or interaction with other attendees who may be ill or otherwise pose a health risk;
- permanent disability, paralysis or loss of life;
- collision with natural or manmade objects;
- dangers arising from adverse weather conditions;
- imperfect venue or field of play conditions;
- equipment failure;
- the cost of missing any form of transportation associated with the activities;
- inadequate safety measures;
- circumstances known, unknown, or beyond the control of StackAdapt and its directors, officers, agents, partners, affiliates, and employees (StackAdapt’s “Representatives”); and
- other potential negligent acts or omissions of StackAdapt or its Representatives.
If applicable, certain Events may involve additional or specific activities (such as water-based, transportation-related, or other physical activities) that carry additional or different risks; where applicable, StackAdapt may provide you with supplemental terms and conditions specific to such activity, which will apply in addition to these Terms and Conditions.
7. Release and Waiver. In addition to the foregoing release, you hereby fully and forever release and discharge StackAdapt from, and expressly waive, any and all liability, claims and demands of whatever kind or nature, either in law or in equity, that may arise from your participation in or connection with the Event, except to the extent arising from the gross negligence or willful misconduct of StackAdapt. You agree not to make or bring any such claim or demand against StackAdapt, and fully and forever release and discharge StackAdapt from liability under such claims or demands, subject to the foregoing exception. YOU UNDERSTAND THAT THIS RELEASE DISCHARGES STACKADAPT FROM ANY LIABILITY OR CLAIM THAT YOU MAY HAVE AGAINST STACKADAPT WITH RESPECT TO ANY BODILY INJURY, PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE OR PROPERTY LOSS THAT MAY RESULT FROM THE EVENT, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF STACKADAPT OR OTHERWISE, EXCEPT TO THE EXTENT SUCH LIABILITY OR CLAIM ARISES FROM STACKADAPT’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
8. Medical Treatment. You hereby give consent and authority to StackAdapt to obtain medical treatment on your behalf if you are injured or require medical attention during your participation in the Event. You understand and agree that you are solely responsible for all costs related to such medical treatment, medical transportation and/or evacuation. You hereby release, forever discharge and hold harmless StackAdapt from any claim whatsoever in connection with such treatment or other medical services.
9. Health and Communicable Illness
- Please note that attendance at an Event carries an inherent risk of exposure to communicable illness, and StackAdapt cannot guarantee that you will not be exposed to illness while in attendance at the Event. You agree that StackAdapt is not responsible or liable if you become ill as a result of attending an Event.
- You agree not to attend an Event while experiencing symptoms of a communicable illness, or if you have been advised by a public health authority or medical professional to isolate or quarantine, and to otherwise follow any health and safety guidelines that StackAdapt may adopt for a given Event.
10. Insurance. YOU UNDERSTAND THAT STACKADAPT DOES NOT ASSUME ANY RESPONSIBILITY FOR, OR OBLIGATION TO PROVIDE, FINANCIAL ASSISTANCE OR OTHER ASSISTANCE, INCLUDING BUT NOT LIMITED TO MEDICAL, HEALTH OR DISABILITY INSURANCE OF ANY NATURE IN THE EVENT OF YOUR INJURY, ILLNESS OR DEATH, OR DAMAGE TO OR LOSS OF YOUR PROPERTY.
11. Indemnification. You hereby agree to indemnify, defend and hold harmless StackAdapt from any and all liability, losses, damages, costs, judgments or expenses, including legal and other fees, that StackAdapt may incur or sustain as a result of your participation in the Event, arising out of any third-party claim.
12. General Warranties. You also hereby warrant, represent, acknowledge and undertake to StackAdapt that:
- you are the age of majority in the location of the Event, or, if you have not yet reached the age of majority in the location of the Event, that your parent or legal guardian has consented to your attendance at the Event and agrees to be bound by these Terms and Conditions on your behalf, and that any statements or opinions expressed during or in connection with the Event are an accurate expression of your personal experiences and beliefs;
- the authorization, approval or consent of no other person is necessary for these Terms and Conditions to be valid, binding and fully in force and effect;
- these Terms and Conditions and all rights herein may be assigned, licensed, sub-licensed or otherwise transferred by StackAdapt without your consent;
- these Terms and Conditions are binding upon your heirs, executors, administrators, personal representatives and any permitted successors or assigns.
13. Governing Law; Jurisdiction; Severability
- These Terms and Conditions, and any dispute or claim arising out of or in connection with them, the Event, or your attendance at an Event, will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario in respect of any such dispute or claim.
- If any provision of these Terms and Conditions is held by a court or tribunal of competent jurisdiction to be invalid, illegal or unenforceable, that provision will be severed from these Terms and Conditions, and the remaining provisions will continue in full force and effect. Nothing in these Terms and Conditions is intended to exclude or limit any liability that cannot lawfully be excluded or limited under mandatory law applicable in the jurisdiction where the Event takes place, including any liability for injury caused by negligence to the extent such liability cannot lawfully be excluded in that jurisdiction.
