StackAdapt API Terms and Conditions

THESE API TERMS AND CONDITIONS GOVERN CLIENT’S ACCESS TO AND USE OF STACKADAPT’S API. CLIENT ACCEPTS THESE TERMS BY ACCEPTING AN API KEY AND ACCESSING THE API. THE INDIVIDUAL ACCEPTING THESE TERMS REPRESENTS THAT THEY HAVE THE AUTHORITY TO BIND THE CLIENT. IF THE INDIVIDUAL ACCEPTING THESE TERMS DOES NOT HAVE SUCH AUTHORITY, OR DOES NOT AGREE WITH THESE TERMS AND CONDITIONS, SUCH INDIVIDUAL MAY NOT ACCEPT THE API KEY. CLIENT AGREES THAT STACKADAPT MAY MONITOR USE OF THE API TO ENSURE QUALITY, IMPROVE PRODUCTS AND SERVICES, AND VERIFY CLIENT’S COMPLIANCE WITH THESE TERMS.

1. Definitions

  • “API Documentation” means the API documentation made available to Company by StackAdapt from time-to-time, including, without limitation, through its StackAdapt API Reference Docs.
  • “API Key” means the security key StackAdapt makes available for Client to access the API.
  • “Applications” means any computer software developed to interact with the StackAdapt API which is specifically intended to aid end users with specific tasks.
  • “Integrations” means a technical integration between the StackAdapt Services and Partner’s or a third  party’s own software platform to enable data exchange or other workflow automation.
  • “Updates” means any updates, bug fixes, patches, or other error corrections to the API that StackAdapt generally makes available free of charge to all licensees of the API.

2. General Conditions. StackAdapt may require that Client engage in an initial due diligence process or audit process from time-to-time, including a product assessment of Client’s planned or completed Integrations or Applications and a data privacy impact assessment for the purpose of identifying, analyzing, and minimizing potential privacy risks associated with the types of personal data that may be collected, processed and stored by Client or StackAdapt as a result of Client’s Integrations or Applications. If StackAdapt determines that Client’s use of the API will cause StackAdapt to violate any laws, regulations, or its own policies related to data protection, StackAdapt may require modifications to the Applications or Integrations to address any data privacy issues or, if any such issues are unable to be resolved, terminate access to the API without further liability.

3. License. Subject to the restrictions set forth in Section 3, StackAdapt grants Client a worldwide, non-exclusive, royalty-free, non-transferable, non-sublicensable, revocable and limited license to use the StackAdapt API solely in connection with developing, implementing and distributing Client’s Applications or Integrations, and solely in the manner allowed by the API Documentation. Client is responsible for maintaining the security of its API Key and any other login or account credentials. Unless other specifically agreed in writing by StackAdapt, if Client is collaborating with a third-party technology partner (a “Technology Partner”) with respect to its use of the API, Client may only provide its API Key to such Technology Partner if the Technology Partner has an agreement with StackAdapt governing its use of the API. If Client does provide its API Key to a Technology Partner that does not have an agreement with StackAdapt, Client is fully liable for all acts and omissions of such party and any breach of these Terms by it will be deemed a breach by Client.

4. Support; Updates. Client is not entitled to any technical support for use of the StackAdapt API beyond access to the API Documentation and reasonable assistance with initial integration and usage of the API. StackAdapt may offer additional support options under separate terms or agreements. Any Updates shall be determined by StackAdapt in its sole direction and shall be provided to the Client at no additional charge. StackAdapt shall use commercially reasonable efforts to notify Client of any such Updates in advance. Client acknowledges that StackAdapt may require Client to obtain and use the most recent version of the API. Updates may adversely affect how the Applications communicate with the StackAdapt Services and Client is required to make any changes to the Applications that are required for integration as a result of such Update at Client’s sole cost and expense.

5. Restrictions. Client is responsible and liable for any end-user interaction with its Applications or any end-user access to the StackAdapt API. Client shall not use the StackAdapt API for any purposes beyond the scope of the licence granted in Section 3 above and may not share the API Key with third parties except as set forth above. Without limiting the foregoing and except as otherwise expressly set forth in the API Documentation, Client shall not at any time, and shall not permit others to:

  • Copy, modify, or create derivative works of the StackAdapt API, in whole or in part, except for the Applications or Integrations, as permitted by and in accordance with the API Documentation;
  • Rent, lease, lend, sell, sublicence, assign, distribute, publish, transfer, or otherwise make the StackAdapt API available to third parties; except in connection with end user use of Applications or development of an Integration;
  • Use the StackAdapt API in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any Applicable Law;
  • Combine or integrate the API with any software, technology, services, or materials other than within the scope of the license herein and in accordance with the API Documentation;
  • Design or permit the Applications or Integrations to disable, override, or otherwise interfere with any StackAdapt-implemented communications to end users, consent interfaces, user settings, alerts, or warnings;
  • Use the StackAdapt API in any of the Applications to replicate or attempt to replace the user experience of the Services;
  • Introduce to StackAdapt’s systems any viruses, worms, defects, Trojan horses, malware, or any items intended to damage or detrimentally interfere with StackAdapt’s systems or third party systems which are accessible through StackAdapt’s platforms;
  • Use the StackAdapt APIs to gain unauthorized access to services, servers, devices, networks, or other infrastructure connected to or through which can be accessed via the StackAdapt API;
  • Use an unreasonable amount of bandwidth, create an unreasonable number of entities, objects, or records, or otherwise adversely impact the stability of the StackAdapt APIs or the behaviour of other Applications or Integrations built using the StackAdapt API;
  • Use the StackAdapt API for the purpose of building a product or service competitive with those offered by StackAdapt or monitoring its availability performance or functionality;
  • Use the StackAdapt API, or any data obtained using the StackAdapt APIs, to identify, exploit or publicly disclose any potential security vulnerabilities.

6. Disclaimer of Warranties. THE STACKADAPT API NOT CONSIDERED A “SERVICE” PURSUANT TO ANY SERVICES AGREEMENTS THAT Client HAS ENTERED INTO WITH STACKADAPT AND IS NOT WARRANTED AS SUCH. THE STACKADAPT API IS PROVIDED “AS IS” AND STACKADAPT SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. STACKADAPT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. STACKADAPT MAKES NO WARRANTY OF ANY KIND THAT THE API, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET COMPANY’S OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OF COMPANY’S OR ANY THIRD-PARTY’S SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

7. Feedback. If Client provides any feedback (“Feedback”) (including identifying potential errors and improvements) to StackAdapt concerning the API it hereby assigns to StackAdapt all right, title, and interest in and to the Feedback, and StackAdapt is free to use, reproduce, disclose, and otherwise exploit the Feedback without attribution, payment or restriction, including to improve the API. StackAdapt will treat any Feedback as non-confidential and non-proprietary. Client will not submit any Feedback that it considers confidential or proprietary.

8. Termination of Access. StackAdapt may suspend access to the API or the SDK immediately if it determines in its reasonable discretion that Company has violated any terms of Section 5, until it has been resolved that no such violation has occurred or is ongoing. StackAdapt may revoke the API Key and terminate Client’s access to the API upon 30 days’ prior written notice for any reason.
